Terms of Service

1. Acceptance of Terms
By accessing or using SongAcquire (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and SongAcquire Inc. (“Company,” “we,” “us”).
2. Eligibility
You must be at least 18 years of age and capable of entering into legally binding contracts. By registering an account, you represent that: (a) all information you provide is accurate and complete; (b) you will maintain the accuracy of such information; and (c) your use of the Platform does not violate any applicable law or regulation.
3. Platform Description
SongAcquire is a marketplace that facilitates the buying and selling of music rights, including copyrights, master recordings, streaming licenses, and other intellectual property related to musical works. We act as an intermediary between sellers (Licensors/Transferors) and buyers (Licensees/Transferees). We do not own or control the intellectual property listed on the Platform.
4. Seller Obligations
Sellers on the Platform must:
- Complete identity verification (KYC) via Stripe Identity before listing any asset.
- Provide accurate and complete information about each listed asset, including ownership status, AI generation disclosure, and human authorship evidence.
- Upload a Human Reference Recording (live vocal or instrumental performance video) to satisfy copyright eligibility requirements.
- Maintain exclusive ownership of all listed assets and not simultaneously list the same asset on competing platforms without disclosure.
5. Buyer Obligations
Buyers on the Platform must:
- Register an account and provide accurate billing and contact information.
- Review all asset details, license terms, and legal documents before completing a purchase.
- Use purchased assets only within the scope of the applicable license or deed of transfer.
- Not resell, sublicense, or redistribute purchased assets except as explicitly permitted by the contract.
6. The 7-Day Escrow Policy
All payments on SongAcquire are processed through our secure escrow system. This policy is designed to protect both buyers and sellers and ensure the integrity of every transaction.
Escrow Hold Period. When a buyer completes a purchase, the full payment amount is placed into escrow and held for a mandatory period of seven (7) calendar days (“Escrow Period”).
Buyer Review Window. During the Escrow Period, the buyer has the opportunity to review the purchased asset, verify the delivered files, and confirm that the asset matches the listing description. The buyer may initiate a dispute during this window.
Automatic Release. If no dispute is filed within the 7-day Escrow Period, funds are automatically released to the seller’s designated payout account. Once released, the transaction is considered final.
Dispute During Escrow. If a dispute is filed during the Escrow Period, funds remain in escrow until the dispute is resolved through the Platform’s internal arbitration process. The resolution may result in a full refund, partial refund, or release to the seller.
Platform Fee. SongAcquire retains a service fee (as displayed at checkout) from each transaction. This fee is non-refundable and is deducted from the escrow amount before release to the seller.
7. Intellectual Property
The Platform and its original content (excluding user-submitted assets), features, and functionality are owned by SongAcquire Inc. and are protected by international copyright, trademark, trade secret, and other intellectual property laws. User-submitted assets remain the property of the respective sellers until transferred via a completed transaction.
8. Dispute Resolution
Any disputes between buyers and sellers shall first be submitted through the Platform’s internal dispute resolution system. The process includes:
- Evidence Submission: Both parties submit supporting documents, screenshots, or files.
- Platform Review: Our moderation team reviews the evidence and renders a decision within 5 business days.
- Binding Decision: The Platform’s decision is binding. If either party disagrees, they may escalate to formal arbitration under the rules of the American Arbitration Association.
9. Limitation of Liability
To the maximum extent permitted by applicable law, SongAcquire Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to the Platform in the twelve (12) months preceding the claim.
10. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least thirty (30) days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within San Francisco County, California.
